Terms of Service

These Terms of Service (“Terms”) govern your use of www.superhipaa.com (the “Site”) and the free resources available through it. The Site is operated by SuperHIPAA, a product of LowerPlane (“SuperHIPAA”, “we”, “us”). By accessing the Site or downloading our materials, you agree to these Terms. If you do not agree, do not use the Site.

These Terms cover the public website and free downloads only. Use of the SuperHIPAA product itself is governed by a separate customer agreement and, where applicable, a Business Associate Agreement; if there is a conflict between these Terms and a signed agreement, the signed agreement controls.

1. Acceptance and eligibility

You must be at least 18 years old and able to form a binding contract to use the Site. If you use the Site on behalf of an organisation, you represent that you have authority to bind that organisation, and “you” includes it.

2. Permitted use of the Site and free downloads

We grant you a limited, revocable, non-exclusive, non-transferable licence to access the Site and to download and use our free resources — checklists, templates, guides, and similar materials — for your organisation’s internal business purposes.

You may not:

  • Resell, redistribute, or republish our materials, or offer them as part of a competing product or service
  • Remove copyright or attribution notices from downloaded materials
  • Use the Site in any way that violates applicable law or infringes anyone’s rights
  • Scrape, crawl, or harvest content or data from the Site by automated means, except ordinary search-engine indexing
  • Attempt to gain unauthorised access to the Site, related systems, or other users’ data, or interfere with the Site’s operation
  • Submit false or misleading information through our forms, or submit protected health information

We may suspend or terminate your access to the Site at any time for breach of these Terms.

3. Intellectual property

The Site and everything on it — text, graphics, logos, downloads, page design, and underlying code — are owned by LowerPlane or its licensors and protected by copyright, trademark, and other intellectual property laws. “SuperHIPAA” and associated logos are trademarks of LowerPlane. Nothing in these Terms transfers ownership of any intellectual property to you; you receive only the limited licence described above.

If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free licence to use them without obligation to you.

The content on this Site — including guides, checklists, templates, and blog posts — is operational guidance, not legal advice. HIPAA compliance depends on the specific facts of your organisation, and no template or article can substitute for advice from qualified counsel who knows your situation. We are not a law firm, using the Site does not create an attorney-client relationship, and you should consult your own legal counsel before relying on any material here for compliance decisions. References to laws and regulations reflect our understanding at the time of writing and may not reflect subsequent changes.

5. No warranty

THE SITE AND ALL MATERIALS ON IT ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. We do not warrant that use of our materials will make you compliant with HIPAA or any other law. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above may not apply to you.

6. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUPERHIPAA, LOWERPLANE, AND THEIR OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, REGULATORY PENALTIES, OR BUSINESS INTERRUPTION — ARISING FROM YOUR USE OF THE SITE OR ITS MATERIALS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED US DOLLARS (US$100). Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

7. Indemnification

You agree to indemnify, defend, and hold harmless SuperHIPAA, LowerPlane, and their officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Site, your violation of these Terms, or your infringement of any third party’s rights.

The Site may link to third-party websites and resources, including government sources such as HHS. We do not control and are not responsible for their content, accuracy, or practices. A link is not an endorsement, and your use of third-party sites is at your own risk and subject to their terms.

9. Privacy

Our collection and use of personal data through the Site is described in our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference.

10. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction. Each party waives any right to a jury trial to the extent permitted by law.

11. Changes to these Terms

We may revise these Terms from time to time. The effective date above reflects the latest revision, and material changes will be flagged on the Site. Your continued use of the Site after a revision takes effect constitutes acceptance of the revised Terms.

12. General

If any provision of these Terms is found unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver of it. These Terms, together with the policies referenced in them, are the entire agreement between you and us regarding the Site. You may not assign these Terms without our consent; we may assign them in connection with a corporate transaction.
